1. Acceptance of Terms

These Terms of Service (“Terms") are a legal agreement between you and Treality LLC, a Wyoming limited liability company doing business as Efora TV (“Efora TV," “we," “us," or “our"). These Terms govern your access to and use of the Efora TV streaming television channel, websites, players, embedded streams, related pages, content submission channels, and associated services made available through https://eforatv.com and https://artists.eforatv.com (collectively, the “Service").

By accessing, browsing, streaming, submitting content to, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by any policies expressly incorporated into them, including our Privacy Policy, Cookie Policy, and DMCA / copyright procedures. If you do not agree, you must not use the Service.

2. Changes to the Terms

We may update these Terms from time to time. When we do, we may post the revised version on the Service and update the “Last updated" date. Changes become effective when posted unless a later date is stated. Your continued use of the Service after revised Terms are posted constitutes acceptance of the revised Terms.

3. Eligibility and Use of the Service

You may use the Service only if you can form a binding legal contract under applicable law and are not prohibited from using the Service under any applicable law, regulation, or sanction regime.

Efora TV is a streaming audiovisual service. No user account is required unless we later make account-based features available. We may add, remove, suspend, geo-block, or modify any feature, channel, stream, page, or functionality at any time.

You are responsible for ensuring that your use of the Service is lawful in your jurisdiction. The Service is operated from the United States but may be accessible internationally; availability of content and features may vary by territory.

4. Privacy, Cookies, and Electronic Communications

Our Privacy Policy and Cookie Policy ((full Privacy Policy (GDPR & CCPA))) describe how we collect, use, disclose, and process personal data and device information. The Service may collect information such as IP address, approximate geolocation, device identifiers, browser and usage data, and cookie / similar technology data for service operation, analytics, security, advertising, and monetization purposes.

Where required by applicable law, we will seek consent for non-essential cookies and similar technologies. Users in the European Economic Area, United Kingdom, and other jurisdictions may have rights relating to access, correction, deletion, restriction, objection, portability, and consent withdrawal, subject to applicable law. Users in certain U.S. states, including California, may have statutory privacy rights, including rights to know, delete, correct, and opt out where applicable.

5. Intellectual Property and Limited License

Unless otherwise stated, the Service and all text, graphics, names, logos, channel branding, layouts, code, software, audiovisual streams, design elements, and other content made available by or on behalf of Efora TV (excluding properly submitted third-party content) are owned by Efora TV or its licensors and are protected by intellectual property and unfair competition laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal, non-commercial viewing and informational use. You may not copy, reproduce, publicly exploit, republish, distribute, retransmit, frame, mirror, scrape, modify, reverse engineer, or create derivative works from the Service except as expressly permitted by law or by our prior written consent.

6. User Submissions, Artist Content, and Content Provider Materials

If you submit, upload, deliver, pitch, license, transmit, or otherwise provide any video, audio, music, graphics, metadata, promotional material, artwork, text, or other content to Efora TV (collectively, “Submitted Content"), you represent and warrant that you own or control all rights necessary for the use contemplated by these Terms and that your submission does not infringe, misappropriate, or violate any rights of any third party.

By providing Submitted Content to Efora TV, you grant Efora TV a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, sublicensable, transferable license to host, reproduce, encode, adapt, edit, translate, excerpt, synchronize, format, package, publish, distribute, transmit, broadcast, publicly perform, publicly display, promote, advertise, market, monetize, and otherwise exploit that Submitted Content, in whole or in part, in any media or distribution method now known or later developed, including web, mobile, OTT, IPTV, FAST, connected TV, social platforms, clips, promotional reels, and archives.

Unless a separate signed written agreement states otherwise, no compensation, royalty, revenue share, or other payment is owed by Efora TV for Submitted Content. Efora TV may edit, reformat, shorten, caption, dub, subtitle, brand, bundle, or combine Submitted Content with advertising, sponsorship, overlays, watermarks, QR codes, graphics, or other programming elements.

If you act as an artist, producer, label, licensor, distributor, uploader, or content provider, you further warrant that all clearances have been obtained, including without limitation copyrights, neighboring rights, master rights, synchronization rights, performer consents, moral rights waivers where legally permissible, trademark permissions, publicity rights, image rights, union obligations, and any music-related public performance or other exploitation rights required for Efora TV’s use of the Submitted Content.

• 6A. AI-Generated and AI-Assisted Content

Efora TV may, in its sole discretion, accept, reject, review, suspend, remove, mute, edit, crop, re-title, re-caption, geo-block, de-monetize, or discontinue any AI-generated or AI-assisted content, in whole or in part, with or without notice, for any legal, commercial, reputational, technical, policy, or rights-related reason.

Any person or entity submitting, uploading, licensing, delivering, or otherwise providing AI-generated or AI-assisted content to Efora TV represents, warrants, and covenants that:

(a) such party owns or controls, and shall maintain throughout the period of exploitation by Efora TV, all rights, permissions, consents, approvals, and releases necessary for Efora TV’s authorized use of the content;

(b) the content was lawfully created and lawfully submitted, and was not copied, scraped, downloaded, extracted, screen-recorded, repurposed, or otherwise obtained from YouTube, Dailymotion, or any other third-party platform without separate rights sufficient for Efora TV’s use;

(c) all elements contained in the content, including without limitation music, sound recordings, beats, loops, vocals, voice models, likenesses, names, images, avatars, digital replicas, artwork, designs, trademarks, stock assets, clips, and other third-party materials, are fully cleared for Efora TV’s authorized exploitation;

(d) Efora TV’s authorized exploitation may include, without limitation, broadcasting, streaming, public display, public performance, communication to the public, editing, formatting, clipping, promotion, archive use, advertising-supported distribution, sponsorship association, branding, QR-code overlay, and related commercial use across Efora TV’s services and distribution channels; and

(e) no additional payment, royalty, fee, residual, consent, or approval is required from Efora TV to any third party unless expressly disclosed in writing to Efora TV in advance and expressly accepted by Efora TV in a signed writing.

Efora TV shall have no duty to independently verify the provenance, ownership, AI workflow, training source, music clearance, likeness clearance, or legality of any AI-generated or AI-assisted content, and may rely conclusively on the submitter’s representations, warranties, and covenants. Any review, acceptance, publication, or monetization by Efora TV shall not reduce or waive the submitter’s responsibility.

The submitter shall defend, indemnify, and hold harmless Efora TV and its affiliates, successors, assigns, officers, directors, members, managers, employees, agents, contractors, distributors, platform partners, advertising partners, sublicensees, and service providers from and against any and all claims, disputes, takedowns, investigations, liabilities, losses, damages, judgments, settlements, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to the AI-generated or AI-assisted content or any alleged or actual infringement, misappropriation, violation, or failure of clearance relating thereto.

7. Advertising, Monetization, and Third-Party Links

Efora TV may insert, schedule, overlay, replace, or otherwise display advertisements, sponsorships, promotions, house ads, affiliate placements, clickable elements, QR codes, calls to action, and similar monetization features in or around the Service and any Submitted Content. Unless a separate written agreement states otherwise, all advertising and monetization revenue generated by the Service belongs solely to Efora TV.

The Service may include links or connections to third-party websites, advertisers, commerce pages, video hosts, payment pages, and social media platforms. We do not control third-party properties and are not responsible for their content, terms, policies, products, or services. Your dealings with third parties are solely between you and the third party.

8. Prohibited Conduct

You agree not to:
(a) use the Service for any unlawful, fraudulent, harmful, abusive, or deceptive purpose;
(b) upload, submit, or transmit content that is unlawful, infringing, defamatory, obscene, hateful, harassing, violent, invasive of privacy, or otherwise objectionable;
(c) interfere with or disrupt the integrity, security, availability, or performance of the Service;
(d) use bots, crawlers, scrapers, automated extraction tools, or similar means to access or collect data from the Service except as expressly authorized;
(e) circumvent access controls, security features, geo-restrictions, ad-delivery mechanisms, digital rights management, or content protection measures;
(f) impersonate any person or entity or misrepresent affiliation, authority, or rights ownership;
(g) submit malware, spyware, corrupted files, or code intended to damage systems or intercept data; or
(h) exploit the Service in a way that could expose Efora TV, its users, advertisers, licensors, or partners to liability.

We may investigate violations and take any action we consider appropriate, including content removal, geo-blocking, access restriction, suspension, termination, notice to rights holders, or referral to law enforcement.

9. Copyright / DMCA Policy

Efora TV respects intellectual property rights and expects users, artists, licensors, and content providers to do the same. If you believe material available through the Service infringes your copyright, you may send a notice to compliance(at)eforatv.com that includes the information required by the Digital Millennium Copyright Act or other applicable law, including:

• identification of the copyrighted work claimed to have been infringed;
• identification of the allegedly infringing material and information reasonably sufficient to locate it;
• your contact information;
• a good-faith statement that the use is unauthorized; and
• a statement, under penalty of perjury where applicable, that the notice is accurate and that you are authorized to act on behalf of the rights holder.

We may remove or disable access to allegedly infringing material, notify the relevant uploader or licensor where appropriate, and terminate repeat infringers in our discretion.

10. Music Rights, PRO Compliance, and Geo-Restrictions

Efora TV may operate globally and may require or rely upon licenses and clearances relating to public performance, communication to the public, neighboring rights, mechanical rights, synchronization rights, and similar rights in different territories. Relevant collective management organizations or performance rights organizations may include, by way of example only, ASCAP, BMI, SESAC, GMR, SIAE, PRS, SACEM, ACUM, and other equivalent bodies worldwide.

If you submit or license music-containing content to Efora TV, you represent and warrant that all music and audiovisual rights necessary for Efora TV’s intended exploitation are cleared for the relevant territories and platforms, or that any territorial limitation has been clearly disclosed to Efora TV in writing before delivery. You are solely responsible for royalties, guild or union obligations, claims by composers, publishers, labels, performers, collecting societies, or other rightsholders arising from your failure to secure the required rights, except to the extent a separate written agreement expressly allocates responsibility otherwise.

Efora TV reserves the right to geo-block, mute, edit, take down, replace, or refuse any content where rights are uncertain, limited, disputed, expired, or not cleared for the applicable territory, platform, or use case.

11. Suspension and Termination

We may, at any time and in our sole discretion, suspend, restrict, remove, de-list, geo-block, or terminate access to any part of the Service or any Submitted Content, with or without notice, for operational, legal, business, reputational, security, technical, or rights-management reasons. Sections that by their nature should survive termination will survive, including intellectual property, licenses granted to Efora TV, disclaimers, limitations of liability, indemnification, and dispute provisions.

12. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS" AND “AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFORA TV DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AVAILABILITY, ACCURACY, AND FREEDOM FROM VIRUSES OR HARMFUL CODE.

We do not guarantee uninterrupted streaming, error-free playback, availability in every location, continued availability of any specific program or channel, or that the Service will meet your requirements. Content made available through the Service is for entertainment and informational purposes only and may be changed or removed without notice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFORA TV AND ITS OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SUPPLIERS, DISTRIBUTORS, AD PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR CONTENT, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EFORA TV’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID TO EFORA TV, IF ANY, IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Efora TV, Treality LLC, and their respective owners, members, officers, directors, employees, agents, contractors, distributors, advertising partners, licensors, successors, and assigns from and against any claims, demands, actions, damages, losses, liabilities, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your Submitted Content; (c) your breach of these Terms; (d) your infringement or violation of any third-party right; or (e) your failure to secure any required music, performance, publicity, privacy, or other rights or permissions.

15. Dispute Resolution, Governing Law, and Venue

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles, except to the extent superseded by applicable federal law.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wyoming, unless mandatory law requires otherwise. You consent to personal jurisdiction and venue in those courts. EACH PARTY WAIVES, TO THE EXTENT PERMITTED BY LAW, ANY RIGHT TO A JURY TRIAL.

If Efora TV elects, any dispute may instead be submitted to binding arbitration on an individual basis. You agree not to participate in any class action, collective action, or representative proceeding against Efora TV to the extent permitted by law. Nothing in these Terms prevents either party from seeking injunctive or equitable relief for misuse of intellectual property or confidential information.

16. Severability, Waiver, and General Terms

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. No waiver by Efora TV of any provision or breach shall be deemed a waiver of any other provision or breach.

These Terms constitute the entire agreement between you and Efora TV regarding the Service, except for any separate written agreement signed by Efora TV. You may not assign these Terms without our prior written consent. We may assign these Terms or any rights under them in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
